Sidereal Research — Terms of Service

1. The service
The service is currently offered as a beta, to customers in the United States, by invitation.
Sidereal Research is an AI-assisted research platform. It discovers and interrogates sources, assembles an evidence corpus you can review and curate, and drafts cited reports whose sentences are mechanically checked against their sources. You direct the research (topic, question, source approval at gates); the platform executes it.
2. Accounts and access
Access is by issued API key. You are responsible for keeping keys confidential and for all activity under them. We may revoke keys used in breach of these terms. One account serves one organization; keys may not be resold or shared outside it.
3. Pricing, holds, and refunds
- Deliverables are sold at fixed prices shown before you order (e.g., Brief, Report, Deep Dive, Monograph). The price you see is the price you pay.
- Ordering places a hold for the deliverable's full price, funded from your wallet balance and, where the balance is short, a card payment for exactly the difference at checkout. When the run completes successfully, the hold is charged. If the run fails, the full hold is returned to your wallet — a failed run costs nothing. Runs paused at a review gate keep their hold until the run completes; nothing further is spent while a run waits for you.
- Wallet funds (purchased or granted) are non-refundable except where required by law or at our discretion, and do not expire while the account is active. (The return of a failed run's hold, above, is the release of an unspent authorization, not a purchase refund.)
- Prices and tiers may change with notice; orders already placed are honored at their original price.
4. Your content and deliverables
- Inputs (topics, research questions, uploaded documents, gate decisions) remain yours.
- Deliverables (reports, evidence corpora, proof sidecars) are yours upon settlement of the run that produced them. Deliverables are produced by AI systems under your direction and curation and carry an AI-contribution disclosure; you are responsible for review before relying on or republishing them (see §6).
- We claim no rights in your deliverables beyond what is needed to operate the service (storage, display to you, support).
5. Third-party services
The platform uses subprocessors in these categories: cloud compute and storage, a managed database, a payment processor (your card data goes to the processor, never to us), an edge network, language-model inference providers, and the research backends described in the Integrity & Data Disclosures. A current named list is available on request. Their availability is outside our control; §7's service commitments are qualified accordingly.
6. Accuracy — measured, not guaranteed
Citation-integrity figures shown with reports are measured probabilities from automated audit, reported with statistical confidence intervals. They are not guarantees. Sources can be wrong, models can err, and audits are themselves statistical. You are responsible for verifying deliverables before making decisions, publishing, or giving advice based on them. The service does not provide legal, medical, financial, or investment advice.
7. Service levels
The service is provided "as is" during beta, and best-effort at general availability. We make no contractual uptime commitment and offer no service credits. We may suspend the service for maintenance or to protect the platform or other tenants. (A formal uptime SLA may be offered under a separate Enterprise agreement.)
8. Acceptable use
Per the Acceptable Use Policy (incorporated by reference). Summary: no unlawful research targets, no harvesting personal data about individuals, no attempts to breach tenant isolation or rate limits, no resale of raw platform output as a competing service.
9. Liability
To the maximum extent permitted by law, Sidereal's aggregate liability is capped at the greater of US $100 or the amounts you paid in the 12 months preceding the claim; neither party is liable for indirect or consequential damages.
10. Termination
You may stop using the service at any time and may delete your runs and artifacts in-product. On account closure we delete tenant artifacts within 30 days, excepting the financial ledger (retained as required for accounting) and backups on their fixed expiry schedule.
11. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction and venue over any dispute.
12. Changes
We may update these terms with 14 days' notice for material changes; continued use after notice is acceptance.
